OPTION TO PURCHASE EXTENDED WARRANTY
Veridocs offers Licensee’s the option to purchase an EXTENDED HARDWARE MAINTENANCE at the time of original hardware purchase. Upon purchase of EXTENDED HARDWARE MAINTENANCE, Veridocs will furnish labor and replacement parts to service the Hardware Equipment provided to Licensee in the Scope of Work section of this Agreement back to proper operating condition during the term of said Agreement.
EXTENDED HARDWARE MAINTENANCE offered by Veridocs commences upon the expiration of original factory warranty.
EXTENDED HARDWARE MAINTENANCE shall be exclusive to applicable serial numbers, and the time-frame is concluded based upon the Veridocs Invoice to Licensee for purchase of equipment. The EXTENDED HARDWARE MAINTENANCE does not apply to software, hardware or accessories used in conjunction with the standard Veridocs software or equipment. If service by Veridocs or Veridocs Authorized Service Center is required for any reason other than equipment failure, Veridocs reserves the option to bill Licensee for applicable time of $140.00 USD per hour. The billable time excludes service or provision of parts required due to the malfunction of accessories, parts or attachments of non-Veridocs supplied products. Veridocs shall not be liable for damages, failures, or maintenance required which results from non-Veridocs accessories, parts, or attachments. All repairs or replacements required to be performed by Veridocs as a result of failure or damage caused by non-Veridocs products will constitute additional charges based off the billable time stated above.
IN NO EVENT SHALL VERIDOCS BE LIABLE TO CUSTOMER, OR ANY THIRD PARTIES UNDER ANY CIRCUMSTANCES FOR ANY INCIDENTAL, SPECIAL, INDIRECT, DIRECT, CONSEQUENTIAL DAMAGES OR ECONOMIC LOSS, BASED UPON BREACH OF WARRANTY, BREACH OF CONTRACT, NEGLIGENCE, STRICT LIABILITY IN TORT OR ANY OTHER LEGAL THEORY, EVEN IF VERIDOCS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES (INCLUDED BUT NOT LIMITED TO LOSS OF PROFITS, BUSINESS, REVENUE, EQUIPMENT USE, DATA, OR INFORMATION OF ANY KIND.)
The maintenance services to be provided by Veridocs pursuant to the terms of this Agreement do not extend to the repairs or replacements to be specified Equipment, which in Veridocs’ sole opinion is the result of abnormal factors. These exclusions include, without limitation:
(i) Repairs or replacements due to unauthorized modifications and the use of non-standard parts or repairs by persons other than Veridocs; (ii) Faults or damages caused by war, terrorism, vandalism, natural disasters; (iii) Faults or damages caused by misuse, abuse, accidental damage, excessive heat, cold or moisture, power failures or fluctuations, static electricity or interference from external services including, in particular, a fault or failure in any telecommunications line; (iv) Modifications necessitated by changes in the standards or regulations of international, national, provincial, state and local governmental bodies or agencies; (v) Replacement of consumables including, without limitation, U V lamps, light shields, document windows, cleaning kits; or items which are subject to attrition; (vi) Repairs or replacements due to the installation, moving or removing of hardware or accessories; (vii) Repairs or replacements due to negligence by Licensee, or any third parties or any other cause not attributable to normal wear and tear; (viii) Poor packaging of the Equipment being returned to Veridocs; (ix) Mismatching of the device and software, as applicable; (x) Failure by the End User to carry out routine care and cleaning operations in accordance with the relevant operator’s manuals as supplied by Veridocs; (xi) Use of consumables including, without limitation, UV lamps, light shields, document windows, and cleaning kits that are not approved by Veridocs or the original equipment manufacturer; (xii) Deletion or modification by the End User of software components, whether deliberate or accidental, that results in the malfunction or in-operability of the Equipment’s standard software; (xiii) Support to third party products including but not limited to operating system, database, and hardware; (xiv) End User’s back up procedure or data, which is required as a result of the actions of Licensee or individuals other than Veridocs, or the End User neglecting to follow and execute regular back up procedures (including storing and validation); (xv) Disinfection, repair or recovery of files and/or data as a result of a computer virus or variant.
All returns require returned merchandise authorization (“RMA”) number issued by Veridocs or Veridocs Authorized Service Center.
Any returned equipment shall first be evaluated for warranty status. If found outside of the EXTENDED HARDWARE MAINTENANCE, Licensee shall be notified of estimated repair costs prior to any work being performed.
Licensee shall make payment to Veridocs or Veridocs Authorized Service Center within thirty (30) days of the date of Veridocs’ invoice.
